Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ellul.ai website, cloud platform, and ZeroClaw mobile application (collectively, the “Services”) operated by Ellul AI (“we”, “us”, “our”). By accessing or using the Services, you agree to be bound by these Terms.

1. Service Description

ellul.ai provides on-demand cloud development environments, including provisioned virtual servers, web-based terminals, AI coding agents, and deployment tools. ZeroClaw is a mobile application that provides an autonomous AI coding agent with a local execution environment on Android devices.

2. Accounts

You must create an account to use most features of the Services. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must be at least 13 years of age to use the Services. By creating an account, you represent that the information you provide is accurate and complete.

3. Subscriptions & Payments

Certain features of the Services require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' notice.

Free-tier accounts are subject to resource limits and may be hibernated or terminated after extended periods of inactivity.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights.
  • Distribute malware, conduct phishing, or engage in any form of cyberattack.
  • Mine cryptocurrency or run workloads that are disproportionate to development use.
  • Send unsolicited bulk communications (spam).
  • Attempt to gain unauthorized access to other users' servers or accounts.
  • Host or distribute content that is unlawful, defamatory, or obscene.
  • Resell or redistribute access to the Services without our written permission.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

5. API Keys & Third-Party Services

The Services allow you to connect your own API keys for third-party AI providers (such as Anthropic, OpenAI, and OpenRouter). Your use of those providers is governed by their respective terms of service. We are not responsible for any charges, data processing, or service disruptions arising from your use of third-party APIs.

API keys are stored locally on your device or within your provisioned server. We do not transmit or store your API keys on ellul.ai infrastructure.

6. Your Content

You retain full ownership of any code, data, and content you create or store on the Services (“Your Content”). We do not claim any intellectual property rights over Your Content. You are solely responsible for the legality, reliability, and appropriateness of Your Content.

You grant us a limited licence to host and transmit Your Content solely as necessary to provide the Services to you. This licence terminates when you delete Your Content or your account.

7. Intellectual Property

The Services, including the ellul.ai platform, ZeroClaw application, and all associated trademarks, logos, and design elements, are the property of Ellul AI or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. AI agents may produce inaccurate or unexpected output. You are responsible for reviewing and validating all code and content generated through the Services.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Ellul AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.

Our total aggregate liability for any claims arising from or related to the Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

11. Termination

You may terminate your account at any time by contacting us or through the account settings in the Services. We may suspend or terminate your access to the Services at any time for a violation of these Terms, with or without notice.

Upon termination, your right to use the Services ceases immediately. Server volumes and associated data will be destroyed within 30 days of termination unless otherwise required by law.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. For material changes, we will notify you by email or through a prominent notice within the Services. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
